Scope and parties
This Seller Agreement ("Agreement") is entered into between you ("Seller") and Growvit GmbH, the company that operates the Hoofine platform ("Hoofine", "we", "our"). It sets out the additional rules that apply when you list horses or services for sale on Hoofine, regardless of where in the world you operate. It supplements — and does not replace — the Hoofine Terms of Service.
By connecting a Stripe account to Hoofine you accept this Agreement. The parent contract for use of the Service is the Terms of Service; in case of conflict between this Agreement and the Terms, this Agreement controls for matters specific to selling.
Title and warranty
You represent that you hold clean title to every horse you list and have the legal right to sell it. If a third party claims ownership, you indemnify Hoofine against any related cost or liability.
You warrant that listing information is accurate to the best of your knowledge — including breed, sex, age, height, training history, and any health or behavioural issues you are aware of. Material misrepresentation is grounds for reversing the buyer's payment and removal from the platform.
Fees and payouts
Listing on Hoofine is free. The platform fee on completed sales is split between the parties: the buyer pays 4.8% of the agreed price plus a fixed EUR 69.99 (reduced to EUR 24.99 where the agreed price is under EUR 2,000), added on top of that price and shown before payment (this fee is never deducted from your payout); you pay 3% of the agreed price, deducted from the amount paid to your Stripe account. The fees that apply to a transaction are those in force when the purchase starts; later fee changes do not affect purchases already started. The platform fee is computed in the same currency as the underlying transaction; Hoofine transacts in euros by default, and where a listing is denominated in another currency the fixed amounts above are converted at the exchange rate current when the purchase starts.
Auctions: when you create an auction you pay a non-refundable listing fee of EUR 159.99 — the auction does not go live until it is paid — and, at settlement, a commission of 9.5% of the hammer price, deducted from your auction payout. The winning bidder pays a 4.8% buyer's premium on top of the hammer price; the premium is disclosed to bidders before they bid and is not deducted from your payout.
Featured placements (Feature, Feature Plus and Feature Max), verification badge subscriptions, KYB/KYH verification applications and Breeding Leads are optional paid products at the prices shown on the /pricing page.
Payouts are issued via your connected Stripe account on the schedule Stripe applies to your country. Currency conversion fees, FX spread and any cross-border charges, where applicable, are passed through from Stripe to your payout. Where Growvit GmbH is required by law to charge VAT or other indirect taxes on platform fees, those taxes are added to or shown alongside the fee in accordance with applicable rules.
No holdback; chargebacks
Hoofine does not hold back any part of your payment. The price, less the seller fee, goes to your Stripe account when the buyer pays, and Stripe pays it out on its usual schedule. If a chargeback is later upheld against a sale, Hoofine may recover the amount from you.
If a chargeback is upheld against Hoofine for a sale whose price you have already received, Hoofine may recover the loss from you.
Identity and tax verification
Stripe Connect onboarding includes identity verification and tax form collection (W-9 in the US, equivalents elsewhere). Hoofine does not store the underlying ID documents — Stripe does.
Sales above thresholds set by your jurisdiction's tax authority will be reported to that authority via the appropriate Stripe-issued form (e.g., 1099-K in the US).
Disputes
If a buyer reports a problem within the 48-hour window, you have 7 days to submit a response and supporting evidence (transport bill of lading, vet pre-purchase report, signed delivery confirmation, photos). The Hoofine team reviews the evidence and issues a written recommendation.
The procedure is voluntary for both parties. Its result binds the parties only if both accept it as a settlement, and the state courts remain open at every stage (Terms of Service § 12 (3)).
Suspension and termination
Hoofine may suspend your seller account if: you accumulate three confirmed chargebacks within 90 days; you fall below a 70/100 trust score; you are the subject of an unresolved welfare or fraud report; or you violate the Acceptable Use Policy.
Suspension freezes new listings but does not extinguish your obligations on sales already in progress.
You may terminate this Agreement at any time by closing your account. Account closure follows the process in Terms of Service § 17 and the data-retention and erasure rules in the Hoofine Privacy Policy, and cannot complete while you have a sale, listing or dispute in progress.
Indemnity and liability
You indemnify Growvit GmbH against any claim, loss or expense arising from a matter you are responsible for, namely: (a) inaccuracy in your listings; (b) defects in title; (c) violation of animal welfare law in any jurisdiction in which you offer or transport the horse; (d) breach of this Agreement. The indemnity does not apply where you are not responsible for the infringement, and it covers the reasonable and necessary costs of legal defence.
We are liable without limitation for damage arising from injury to life, body or health caused by an intentional or negligent breach of duty by us, our legal representatives or our agents, and for any other damage caused by an intentional or grossly negligent breach of duty.
Where we breach a material contractual obligation through slight negligence — an obligation whose fulfilment makes proper performance of this Agreement possible in the first place and on whose observance you may reasonably rely — our liability is limited to the foreseeable damage typical of this type of contract. Liability for slightly negligent breaches of other obligations is excluded.
The limitations above do not apply to claims under the German Product Liability Act (Produkthaftungsgesetz), where we have assumed a guarantee, or where a defect has been fraudulently concealed, and they do not displace any equivalent mandatory liability under the seller's local law.
Changes
Hoofine may amend this Agreement on 30 days' notice for material changes (price changes, fee changes, holdback rates) and immediately for clarifications, typo fixes, or changes required by law. Continued use after an amendment constitutes acceptance.
